Terms and Conditions of Reservation

  1. Introduction

Thank you for reserving a FRIKAR! By placing a reservation, you secure an estimated delivery priority for the Frikar E-bike in your country, region, or postal area. Information about delivery priorities for specific territories will be published on our website at twozero.no.
Your reservation helps support the development of an environmentally friendly, cost-efficient, and enjoyable e-bike—one we believe will make a real difference. We sincerely appreciate your trust.

  1. Reservation Date

Your reservation becomes effective on the date your reservation payment is received.

  1. Reservation Scope

Please note that a reservation does not constitute a purchase or sales agreement for a Frikar E-bike. It simply grants you a preliminary delivery priority within your region or postal code.
When production begins for your country or area, TwoZero will contact you to discuss available options regarding your FRIKAR configuration and delivery.

At that time, you will receive a purchase agreement enabling you to convert your reservation into a final order. Should you choose to proceed, your reservation payment will be credited toward your purchase.
You may cancel your reservation at any point prior to signing a purchase agreement and receive a full refund of the reservation payment.

  1. Reservation Conditions — Non-Transferable and Quantity Limits

Reservation payments do not accrue interest, and funds are not held in a segregated or protected account.
Reservations may not be transferred to another individual or entity without prior written approval from TwoZero.
No customer may reserve more than five Frikar E-bikes without obtaining explicit written permission from TwoZero.

  1. Updates and Information

We may periodically contact you with updates on the development of the Frikar E-bike and may request information from you to help us refine and improve the product.

  1. Risk Disclosure

In the unlikely event that TwoZero’s parent company, Phase Energy AS, becomes insolvent or files for bankruptcy, we may be unable to return your reservation payment. Consequently, you accept that there is a risk you may lose some or all of the amount paid.

All reservation terms are subject to change without prior notice.

Terms and Conditions of Sale and Delivery

  1. General Provisions
  1. These Terms and Conditions of Sale (“Standard Terms of Sale”) apply to online sales of goods to consumers, whether supplied directly by TwoZero or via an authorised TwoZero dealer. They also apply to in-store purchases made through authorised dealers (“walk-in customers”).
  2. Consumer purchases conducted online are governed primarily by the Norwegian Contracts Act, Consumer Purchases Act, Marketing Control Act, Right of Withdrawal Act, and the eCommerce Act. Nothing in these Standard Terms of Sale shall limit consumer rights provided under the laws of the EU, Switzerland, Liechtenstein, Norway, or Iceland. These terms describe the principal obligations and entitlements of the parties.
  3. A “consumer” refers to any natural person acting outside the scope of commercial or professional activities in accordance with § 1(3) of the Norwegian Consumer Purchases Act.
  4. The seller is Phase Energy AS (Org. No. 928 075 915), Askerveien 6, 1384 Asker, Norway, email: sales@twozero.no (“Seller”).
  5. The buyer is the individual consumer placing an order with the Seller (“Buyer”).
  6. The agreement between the Buyer and the Seller includes all product information, pricing, and delivery details presented in the online ordering system at www.twozero.no, any direct communication between the parties (email, telephone, post, etc.), and these Standard Terms of Sale.
    No party is bound by incorrect information caused by obvious typographical or data-entry errors, provided the other party knew or reasonably should have known of the mistake.
  1. Customer Account & Contract Formation
  1. Agreements may be entered into via the Online Shop. The following rules apply to online purchases.
  2. To place an order, the Buyer must create a customer account. Access to the Online Shop is password-protected, and it is the Buyer’s responsibility to keep login credentials confidential and prevent access by unauthorised parties.
  3. All advertised offers are non-binding and subject to change. This applies even if catalogues, technical documents, or product descriptions—whether printed or digital—have been provided.
  4. Submitting an order in the Online Shop (after registering an account and accepting these Terms) constitutes a binding offer from the Buyer. The Seller may accept the order within 14 calendar days.
  5. The Buyer will receive an order-receipt confirmation promptly after submitting the order. This confirmation is not an acceptance. A contract is formed only when the Seller sends a written acceptance or ships the goods.
  1. Prices and Payment
  1. Prices listed online exclude VAT where applicable. VAT, shipping, customs duties, import charges, and related fees will be added unless otherwise agreed. Shipping costs—including transport insurance—are borne by the Buyer unless free shipping has been explicitly offered.
  2. Unless otherwise agreed, all deliveries require advance payment. The invoice will specify the payment deadline.
  3. Any deposit paid will be deducted from the final invoice.
  4. Should cost-increasing events occur (as described in §13, including currency fluctuations) that materially affect production costs, the Seller may adjust the price accordingly.
  5. If such a price adjustment occurs, the Buyer may cancel the agreement.
  1. Delivery, Risk Transfer & Partial Shipments
  1. Goods are assembled and prepared by certified TwoZero technicians. Some items (such as batteries, pedals, mirrors, or wheels) may be shipped separately and must be installed by the Buyer following supplied instructions or with authorised assistance.
  2. Delivery occurs when the Buyer or an authorised representative takes physical possession of the goods.
  3. Delivery dates are agreed individually or stated upon acceptance. If no date is specified, delivery shall occur as soon as reasonably possible and no later than 30 days after contract formation.
  4. Risk transfers to the Buyer when the goods are received.
  5. The Seller may make partial deliveries. Any remaining items will be shipped at no additional cost.
  6. Additional accessories, merchandise, or equipment may ship from separate locations. Free shipping for partial deliveries applies only to E-bike components included in the original order.
  7. Unless otherwise agreed, the Seller determines the shipping method and transport company. Transport risk is borne by the Seller.
  1. Delays and Non-Delivery
  1. If a delivery delay occurs, the Seller will notify the Buyer as soon as possible and provide an updated estimated delivery date.
  2. If the Seller fails to deliver on time and the issue is not caused by the Buyer, the Buyer may—according to Chapter 5 of the Norwegian Consumer Purchases Act—demand fulfilment, terminate the agreement, and/or claim compensation.
  3. Fulfilment: The Buyer may require delivery unless performance is impossible or unreasonably burdensome for the Seller. This right lapses if the Buyer waits an unreasonably long time to assert it.
  4. Termination:
    • If the Seller fails to deliver by the agreed date, the Buyer must allow a reasonable extension for delivery.
    • If the Seller still does not deliver, the Buyer may terminate the contract.
    • Immediate termination is allowed if timely delivery was essential or if the Seller clearly refuses to deliver.
    • Termination must be declared within a reasonable time after the Buyer becomes aware of the breach.

Refunds must be issued within 14 days of the Seller receiving valid termination notice.

  1. Compensation: The Buyer may claim documented financial loss unless the delay was caused by circumstances outside the Seller’s control that could not reasonably have been foreseen, avoided, or mitigated.
  2. Claims should be submitted in writing for evidentiary purposes.
  1. Defects
  1. The Buyer must notify the Seller of any discovered defect within a reasonable period. Notice given within two months of discovering the defect is always considered timely. Claims must be made within two years of delivery (five years in Norway for goods intended to last substantially longer).
  2. If the goods are defective and the cause is not attributable to the Buyer, the Buyer may—under Chapter 6 of the Norwegian Consumer Purchases Act—request repair or replacement, withhold payment, demand a price reduction, terminate the agreement, and/or seek compensation.
  3. Repair or replacement: The Buyer may choose the remedy unless it is impossible or imposes unreasonable cost on the Seller. Repair or replacement must occur within a reasonable time.
  4. Price reduction: If repair or replacement is not performed, the Buyer may demand a proportionate price reduction based on the defect’s impact.
  5. Termination: The Buyer may terminate the purchase if the defect is not minor.
  6. Claims should be made in writing.
  1. Right of Withdrawal
  1. For distance sales, the Norwegian Right of Withdrawal Act applies. The Buyer may withdraw without providing a reason, even before receiving the goods.
  2. Return shipping costs are borne by the Buyer.
  3. Information about the right of withdrawal is provided in the accompanying documentation.
  4. A withdrawal form is included with these Terms.
  1. Seller’s Rights in the Event of Buyer Breach
  1. If the Buyer fails to pay or otherwise fulfil obligations, the Seller may—with reference to Chapter 9 of the Consumer Purchases Act—retain goods, demand fulfilment, terminate the agreement, and/or claim compensation. Interest, collection costs, and reasonable fees for uncollected goods may also apply.
  2. Fulfilment: The Seller may demand payment unless waiting too long to assert the claim.
  3. Termination: The Seller may terminate for substantial breach. If a grace period is provided and the Buyer still fails to pay, the Seller may terminate.
  4. Interest and fees: Overdue payments accrue interest under the Norwegian Act on Overdue Payment Interest. Collection fees may be charged under the Norwegian Debt Collection Act.
  5. Fee for uncollected goods: The Seller may charge actual costs incurred. No such fee may be charged to minors.
  1. Retention of Title

Unless prepaid in full, the Seller retains ownership of the goods as security for outstanding amounts, including interest and costs, pursuant to §§ 3-14 et seq. of the Norwegian Mortgages and Pledges Act.

  1. Intellectual Property
  1. The Buyer receives a non-exclusive licence to use the embedded software required for product operation.
  2. Modification, alteration, or adaptation of the software is prohibited.
  3. Software rights may only be transferred together with the sale of the physical product, and no copies may be retained.
  4. The Seller is not obliged to provide access to source code.
  1. Data Protection

The Seller acts as the data controller for all collected personal data. By accepting these Terms, the Buyer consents to the processing of personal data in accordance with the Norwegian Personal Data Act. Only data necessary to fulfil contractual obligations will be processed.
The Buyer is encouraged to review the Seller’s privacy policy for details.

  1. Force Majeure

The Seller bears no liability for failure to deliver or perform replacement obligations when prevented by labour disputes or circumstances beyond the Seller’s reasonable control, including but not limited to: fire, war, mobilisation, military requisition, embargo, riots, cyber-attacks, transport shortages, supply chain disruptions, or failures of subcontractors due to such events.
In such cases, the Seller’s liability is limited to reimbursing the purchase price for any defective goods.

  1. Dispute Resolution

Any dispute arising from or related to these Terms shall be governed by Norwegian law. Disputes shall be resolved before the ordinary Norwegian courts.
